New BOI Rules to Buy More Lands in Thailand 泰國投資委員會買更多土地的新規定

On 1 November 2024, the Board of Investment in Thailand (BOI) has issued regulations to revise the criteria for certain foreign-owned businesses and other legal entities receiving promotional privileges to own lands under limited conditions. This new regulation allows foreign companies to acquire large parcels of land legally and build residences for themselves and a high number of employees instead of relying on leases from Thai landlords.
泰國投資促進委員會(BOI)於2024年11月1日發布新規定,修改特定外資企業和其他獲得促進優惠的法人實體在有限條件下擁有土地的標準。新規定允許外國公司合法獲得大片土地並為自己和大量員工建造住宅,不必依賴泰國房東的出租。
Details of the regulations is published on 9 December 2024 in the Notification of the Board of Investment No. 16/2567 Re: Criteria for Permitting Foreign Juristic Persons Receiving Investment Promotion to Hold Land Ownership for Office and Residence. The notification was made in conjunction with the subordinate Notification of the Office of the Board of Investment No. Por. 8/2567 Re: Criteria and Conditions for Permitting Foreign Juristic Persons Receiving Investment Promotion to Own Land for Office and Residence for Operational-Level Workers to Operate Business Granted Investment Promotion, dated November 4, 2024.
新法規詳情已於 2024 年 12 月 9 日公告在投資委員會第 16/2567 號通知有關允許獲得投資優惠的外國法人持有辦公和居住用土地所有權的標準。此通告為2024年11月4日投資委員會辦公室第Por. 8/2567號通知有關允許獲得投資優惠的外國法人擁有土地用於辦公和居住,並為操作級員工提供經營投資優惠的標準和條件的隸屬通知。
With the new regulations, promoted companies can buy lands:
根據新規定,促進的公司可以購買土地:
Ø Office use: land being used for this purpose must be for an office of the relevant BOI-promoted business, with an area limit of 5 rai (8,000 square meters).

Ø Residential use: land being used for this purpose must be for the residences of operational-level workers (i.e., unskilled laborers), with an area limit of 20 rai (32,000 square meters). Also, there must be common facilities (e.g., parking, first-aid room, kitchen, and other amenities, as approved by BOI). The land must be located within 10 kilometers of the place of business operation, and the number of rooms must be consistent with the number of workers.
住宅用途:用於此目的的土地必須用於操作級工人(即非技術工人)的住宅,面積限制為20萊(32,000平方米)。此外,還必須有公共設施(例如停車場、急診室、廚房和其他便利設施,經投資委員會批准)。該土地必須位於營業地點10公里以內,且房間數量必須與工人數量一致。
The land shall be utilized solely for the purposes approved by the BOI. Any use of the land for purposes that are immoral or unlawful is strictly prohibited.

The investment-promoted entity shall provide full cooperation to officials for the inspection of land use and access to the premises, including office locations and residences for operational-level workers, for which ownership has been granted, throughout the duration of the investment promotion period.

The qualifying businesses can purchase large parcels of land to house more employees more comfortably.

Under the revised regulations, foreign companies need to meet the following conditions to buy more lands:
根據修訂後的規定,外國公司購買更多土地需要滿足以下條件:
Ø Paid-up registered capital of at least THB 50 million
實收註冊資本至少5,000萬泰銖
Ø Land for office and residential use may not be in the same area as the land where the business is located (special permission granted by the BOI on a case-by-case basis).
辦公和住宅用地不得與企業所在地的土地位於同一區域(由BOI根據具體情況授予特別許可)。
If BOI promotion status is lost, the company has 1 year to sell or transfer the land.
如果失去BOI推廣資格,公司有一年的時間出售或轉讓土地。
Furthermore, any applications that have already been submitted in accordance with the Announcement of the Office of the Board of Investment No. Por.10/2566 dated 23 June 2023, regarding the criteria and conditions for permitting foreign juristic persons receiving investment promotion to own land for the purpose of establishing offices and accommodations in connection with promoted activities, that are still under consideration by the Office, shall be subject to the criteria and conditions stipulated in the said Announcement for the granting of rights and benefits.
此外,根據投資委員會辦公室2023年6月23日第Por.10/2566號公告,已提交關於允許獲得投資優惠的外國法人擁有土地用於設立與促進活動有關的辦公室和住所的標準和條件的申請,且仍在接受辦公室審議的申請,仍需遵守此公告規定的標準和條件給予權利和利益。
